Effective Date: 12/15/2025

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the website and services provided by Compass Marketing Agency ("we," "our," or "us"). By accessing our website, engaging in consultations, or contracting with us for services (including, but not limited to, Social Media Marketing, SEO, Website Design, and Video Production), you agree to be bound by these Terms.

2. Services Provided

Compass Marketing Agency provides a range of digital marketing and creative services, which may include:

  • Branding & Design: Logo creation, color palette consultation, and overall brand style development.
  • Social Media Marketing (SMM): Content strategy, creation, posting, and community management on platforms like Instagram, LinkedIn, Facebook, X, and TikTok.
  • Search Engine Optimization (SEO): On-page, off-page, and technical SEO strategies.
  • Website Design: Development and customization using platforms such as Wix, Squarespace, and WordPress.
  • Video Production & Editing: Creation of visual content for web and social platforms.
  • Marketing Strategy Consultation: Advisory services provided online (e.g., via Zoom) or through other communication channels.

The specific scope of work, deliverables, timelines, and fees for any project will be defined in a separate written agreement (the "Service Agreement" or "Contract"). In case of any conflict between these Terms and the Service Agreement, the Service Agreement will prevail.

3. Client Responsibilities

The Client agrees to:

  • Provide Timely Information: Deliver all necessary raw materials, access, images, data, passwords, and information required by Compass Marketing Agency to complete the services in a timely manner. Delays in providing materials may extend project timelines and may result in additional fees.
  • Review and Approval: Promptly review and approve all provided deliverables (e.g., design mockups, written copy, videos). The Client agrees that failure to provide feedback or approval within 3 business days constitutes approval of the deliverable.
  • Account Access: Grant access to necessary third-party accounts (e.g., Google Analytics, Meta Business Suite, website CMS) required for the Agency to perform the contracted services. The Client is responsible for maintaining the security of these accounts.

4. Fees and Payment

  • Pricing: All specific service prices will be detailed in the Service Agreement.
  • Invoicing: Compass Marketing Agency will issue invoices according to the payment schedule outlined in the Service Agreement (e.g., up-front retainer, phased payments, or monthly recurring fees).
  • Payment Terms: Invoices are due and payable within 7 days of receipt. Work will not commence or continue if payments are late.
  • Ad Spend & Third-Party Costs: Any costs incurred for external advertising (e.g., Meta Ads, Google Ads) are the sole responsibility of the Client, unless explicitly stated otherwise in the Service Agreement.

5. Intellectual Property

A. Client Ownership

The Client retains all ownership rights to any materials provided to Compass Marketing Agency (e.g., existing logos, text, photographs, raw footage). Upon final payment for the services, the Client will own the exclusive, perpetual, worldwide rights to the finished deliverables, including final logos, video edits, and website code created by Compass Marketing Agency specifically for the Client.

B. Agency Ownership

Compass Marketing Agency retains ownership of all intellectual property rights in any pre-existing materials used to provide the services, including:

  • Internal methodologies, templates, tools, and non-client-specific code.
  • The overall design style and web/app frameworks used across multiple clients.

We reserve the right to display the final work created for the Client in our own portfolio and marketing materials (e.g., on our website or social media), unless otherwise agreed upon in writing.

6. Confidentiality

Both parties agree to treat all non-public information—including business models, financial data, client lists, and unreleased strategies—as strictly confidential. This obligation remains in effect even after the termination of the Service Agreement.

7. Termination

A. Termination by Either Party

Either party may terminate the Service Agreement with written notice of 15 days, sent via official email to the other party.

B. Immediate Termination

Compass Marketing Agency reserves the right to terminate the agreement immediately if the Client fails to make a payment when due or breaches any material term of this agreement.

Upon termination, the Client must immediately pay any outstanding invoices for services rendered up to the date of termination. Failure to pay outstanding invoices within 7 days will result in additional fines.

8. Refund Policy

Refunds for services are subject to the following conditions:

  • Full Refund Only Before Work Commences: A client is eligible for a full refund of the service fee (excluding any initial non-refundable deposits) only if the cancellation request is received before work begins.
  • Three (3) Business Day Grace Period: You may request a full refund within a three (3) business day grace period following the contract signing, provided no work has yet commenced.
  • "Work Commenced" Defined: Work is considered commenced upon the initial kickoff meeting, resource allocation (e.g., assigning a designer), or the start of any research or strategy development.
  • No Refund After Work Commences: Once work has started, all fees paid are non-refundable, as they cover time and resources already invested by Compass Marketing Agency.

8. Limitation of Liability

Compass Marketing Agency shall not be liable for any indirect, incidental, or consequential damages (including loss of profits, data, or business opportunities) arising from the use or inability to use our services. We are not responsible for performance outcomes that are dependent on third-party actions, such as changes to search engine algorithms (SEO) or social media platform policies. Our liability to the Client shall be limited to the total amount paid by the Client to Compass Marketing Agency for the specific service from which the liability arose.

9. Governing Law

These Terms shall be governed by and construed in accordance with the state laws of Virginia and New Jersey, as well as federal laws of the United States.
